Contracts are intended to be legally binding upon the parties signing them. Many vendor contracts, however, contain terms and conditions that are favorable only to the vendor, such as out of state law/venue and multi-year terms. Attorney Hans Graff covers common issues to look out for that may create problems for districts with little recourse beyond paying for unwanted services with no real defense to termination without breaching. Some issues that will be addressed are: authority to execute, law and venue, multi year contracts, indemnification, funding and federal funding requirements, term, and termination clauses.
Audience: Superintendents, Assistant Superintendents, Business Managers, Special Education Directors
