Darren has served as tax counsel on financing transactions involving various governmental issuers (including school districts, cities, counties, special districts and others), as well as on 501(c)(3) conduit transactions. His experience also includes handling tax controversy matters (IRS audits and closing agreement requests).
He also has experience advising 501(c)(3) organizations with respect to general corporate matters, formation of subsidiary entities, conflicts of interest and other policy matters, tax compliance, and excise tax matters.
Mr. McHugh has also assisted in structuring lease financings and assisting issuers and conduit borrowers with post-issuance compliance matters. He has served as special tax counsel to issuers, conduit borrowers and other law firms in tax and public finance engagements.
Darren joined the Firm in the summer of 2024, further enhancing the public finance expertise available to our clients. His prior experience includes serving as a tax partner at an international law firm where he was responsible for the federal tax law analysis of municipal debt issuances.
